Terms of Service

These terms govern all B2B cooperation between CLEVO and its partners. Please read carefully before placing any order or entering into a business relationship with us.

SECTION 01

Cooperation Scope

These Terms of Service ("Agreement") apply to all business cooperation between CLEVO (hereinafter "the Company," "we," or "us") and its B2B partners, distributors, procurement entities, and institutional buyers (hereinafter "the Partner" or "you").

Eligible Partners

  • Registered commercial enterprises and legal entities
  • Authorized distributors and resellers
  • Hotels, property management groups, and facility operators
  • Procurement departments of institutions and organizations

Covered Products

  • Large commercial cleaning equipment (scrubbers, sweepers, vacuums)
  • Cleaning supplies, tools, and accessories
  • Hotel amenities and hospitality accessories
  • Commercial cleaning chemicals and agents

Acceptance of Terms: By submitting a purchase order, signing a cooperation agreement, or engaging in any commercial transaction with CLEVO, the Partner acknowledges and agrees to be bound by these Terms of Service in their entirety. These terms supersede any prior verbal or informal agreements.

Payment Terms

Standard

30% Deposit + 70% Balance Before Shipment

Applicable to first-time orders and standard product orders. Balance must be received and confirmed prior to cargo release.

Long-term

Net 30 / Net 60 Payment Terms

Available to verified long-term partners with established credit history. Subject to written agreement and credit approval.

Methods

Accepted Payment Methods

T/T (Telegraphic Transfer), L/C (Letter of Credit) for orders exceeding USD 50,000, and other methods upon mutual agreement.

Delivery Terms

Lead Time

Standard products: 7-15 business days. Customized orders: 20-35 business days after sample approval. Lead times may vary based on order volume.

Incoterms

Default: FOB Guangzhou. EXW, CIF, DDP and other Incoterms available upon negotiation. Specified in the formal sales contract.

Delay Notification

In the event of production delays due to force majeure or supply chain disruptions, CLEVO will notify the Partner in writing within 3 business days.

Order Confirmation

Orders are confirmed only upon receipt of the deposit and issuance of a written order confirmation by CLEVO. Verbal commitments are not binding.

SECTION 03

Customization Terms

Sampling & Prototyping Fees

Sample Fee Requirement

All customization requests require a non-refundable sample fee prior to production commencement. Sample fees range from USD 200 to USD 2,000 depending on product complexity, materials, and tooling requirements. The exact amount will be quoted in writing.

Sample Fee Deduction Policy

Upon placement of a bulk order meeting or exceeding the agreed MOQ, the sample fee paid will be fully deducted from the total order value. This deduction is applicable only to the first confirmed bulk order following sample approval.

Revision & Re-sampling

Up to two (2) rounds of revisions are included within the original sample fee. Additional revision rounds or re-sampling due to Partner-initiated specification changes will incur additional fees as quoted by CLEVO.

Mold & Tooling Ownership

Partner-Funded Molds

When the Partner fully funds the mold/tooling cost, the mold is considered the Partner's exclusive property. CLEVO will store and maintain the mold at no additional charge for a period of 3 years from the date of last production run.

✓ Exclusive use rights guaranteed -- mold will not be used for any third party without written consent.

CLEVO Standard Molds

Molds developed and funded by CLEVO for standard product lines remain the sole intellectual property of CLEVO. Partners may use these molds for production orders but may not claim ownership, replicate, or transfer the tooling to third parties.

ℹ Shared mold products are available at lower MOQ -- ideal for initial market testing.

Mold Transfer: Partner-owned molds may be transferred or retrieved upon written request. CLEVO will facilitate the transfer within 30 business days. Any outstanding balances must be settled prior to mold release. Shipping and handling costs for mold transfer are borne by the Partner.

SECTION 04

Quality & After-Sales

Goods Inspection

Pre-Shipment Inspection

CLEVO conducts internal QC inspection on all goods before shipment. Inspection reports are available upon request. Partners may arrange third-party inspection at their own cost with 5 business days' prior notice.

Acceptance Window

The Partner must inspect all received goods within 7 calendar days of delivery. Any visible defects, shortages, or damages must be reported in writing with photographic evidence within this period.

Deemed Acceptance

Failure to raise a formal written complaint within the 7-day acceptance window will be deemed as unconditional acceptance of the goods. Claims submitted after this period will not be honored by CLEVO.

Warranty Includes

  • Manufacturing defects confirmed by CLEVO QC team
  • Replacement parts or product exchange at CLEVO's discretion
  • Technical support and remote troubleshooting guidance

Warranty Excludes

  • Damage from improper use, mishandling, or negligence
  • Normal wear and tear of consumable parts
  • Damage caused by unauthorized modification or repair
SECTION 05

Liability & Dispute Resolution

Breach of Contract & Liability

Partner Breach

If the Partner fails to make payment within the agreed timeframe, CLEVO reserves the right to: (a) suspend production or shipment of the order; (b) charge a late payment fee of 1.5% per month on overdue amounts; and (c) terminate the order and forfeit the deposit in the event of continued non-payment exceeding 30 days.

CLEVO Breach

If CLEVO fails to deliver conforming goods within the agreed timeframe due to reasons within CLEVO's control, CLEVO shall: (a) notify the Partner promptly; (b) provide a revised delivery schedule; and (c) offer reasonable compensation not exceeding the value of the affected order portion. CLEVO's total liability shall not exceed the contract value of the specific order in question.

Limitation of Liability

In no event shall either party be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, loss of business opportunity, or reputational damage, arising out of or in connection with this Agreement, regardless of whether such damages were foreseeable.

Force Majeure

Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, port closures, or significant supply chain disruptions. The affected party must notify the other in writing within 5 business days of such event occurring.

Dispute Resolution

1st

Amicable Negotiation

Both parties agree to first attempt resolution through good-faith direct negotiation. Either party may initiate this process by submitting a written notice of dispute. Parties shall have 30 calendar days to reach a mutually agreeable resolution.

2nd

Mediation

If direct negotiation fails, either party may request mediation through a mutually agreed neutral third party. Mediation costs shall be shared equally between the parties unless otherwise agreed. Mediation proceedings shall be conducted in English.

3rd

Arbitration

Unresolved disputes shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China. Arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Language

These Terms of Service are issued in English. In the event of any discrepancy between translated versions, the English version shall prevail and be considered the authoritative text.
